Terms of Service

By accessing or using the OMII AI website (omii.agency) and our services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

These terms apply to all visitors, users, clients, and others who access or use our services. We reserve the right to update or modify these terms at any time, and your continued use of our services constitutes acceptance of those changes.

OMII AI provides AI automation, workflow optimization, data systems, and related consulting services. Our services include but are not limited to:

• Custom AI automation system design and development.
• Workflow analysis and optimization.
• Data pipeline and integration architecture.
• AI agent development and deployment.
• Consulting and strategic advisory services.

The specific scope, deliverables, and timeline of services will be defined in a separate statement of work or service agreement between OMII AI and the client.

All content on the OMII AI website, including text, graphics, logos, images, and software, is the property of OMII AI or its content suppliers and is protected by intellectual property laws.

• Website Content: You may not reproduce, distribute, modify, or create derivative works from any content on our website without prior written consent.
• Client Deliverables: Ownership of custom deliverables created for clients will be governed by the terms of the specific service agreement. Unless otherwise stated, clients receive full ownership of custom-built solutions upon completion and full payment.
• Pre-existing IP: OMII AI retains ownership of all pre-existing tools, frameworks, methodologies, and proprietary technology used in the delivery of services.

Payment terms for our services are outlined in individual service agreements. General terms include:

• Invoices are due within the timeframe specified in the service agreement (typically net 15 or net 30 days).
• A deposit may be required before project commencement.
• Late payments may incur additional fees as specified in the service agreement.
• All fees are non-refundable unless otherwise stated in the agreement.

OMII AI reserves the right to suspend or terminate services for accounts with outstanding balances.

To ensure successful delivery of our services, clients agree to:

• Provide accurate and complete information necessary for service delivery.
• Grant reasonable access to systems, data, and personnel as required.
• Respond to requests for feedback, approvals, and decisions in a timely manner.
• Ensure compliance with applicable laws and regulations in the use of delivered solutions.
• Not use our services for any unlawful or unauthorized purpose.

Both parties agree to maintain the confidentiality of proprietary information shared during the course of the engagement. Confidential information includes business strategies, technical specifications, data, processes, and any other information designated as confidential.

This obligation survives the termination of services and remains in effect unless the information becomes publicly available through no fault of the receiving party.

To the maximum extent permitted by applicable law:

• OMII AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities.
• Our total liability for any claim arising from the use of our services shall not exceed the total amount paid by the client for the specific service giving rise to the claim.
• OMII AI provides services on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the suitability, reliability, or accuracy of our services.

OMII AI does not guarantee specific business outcomes or results from the implementation of our solutions. Performance depends on various factors including client implementation, market conditions, and third-party dependencies.

Either party may terminate a service engagement under the following conditions:

• Mutual Agreement: Both parties agree in writing to terminate the engagement.
• Breach: If either party materially breaches these terms and fails to remedy the breach within 30 days of written notice.
• Convenience: Either party may terminate with written notice as specified in the service agreement, subject to payment for work completed.

Upon termination, the client will be responsible for payment of all services rendered up to the effective date of termination. OMII AI will deliver all completed work product to the client.

These Terms of Service shall be governed by and construed in accordance with applicable laws. Any disputes arising from or relating to these terms or our services shall be resolved through good-faith negotiation. If a resolution cannot be reached, disputes shall be submitted to binding arbitration in accordance with the rules of the applicable arbitration body.
